Terms of Use
Last updated 29 October 2026
These Terms of Use (the “Terms”) govern your access to and use of the Roomzz website at roomzz.io and the related interface (together, the “Interface”), operated by Roomzz (“we”, “us” or “our”). By accessing or using the Interface, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Interface.
1. What Roomzz is
Roomzz is a set of 3D clubs, one for each token or NFT collection, with a chat, a bar paid in ETH and, in token clubs, a swap box. The Interface is non-custodial and connects to public smart contracts and networks, currently Base and Robinhood Chain.
Roomzz is an independent platform. It is not affiliated with, endorsed by, or operated by Coinbase or Base.
We provide software that helps you build and send blockchain transactions and that hosts social spaces. We do not operate Base, Robinhood Chain, the swap aggregator, your wallet, or any other network or service we link to. We are not a broker, dealer, exchange, custodian, money transmitter, or financial institution, and we do not match orders or execute trades on your behalf.
2. Non-custodial: you control your wallet
You interact with the Interface using your own self-custody wallet. You keep sole control of your private keys, seed phrase and funds at all times. We never take custody of, hold, or have access to your assets or keys, and cannot move, freeze, recover or reverse your transactions. On-chain transactions are final and irreversible. You are solely responsible for the security of your wallet and device.
3. Eligibility
To use the Interface you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. You may not use the Interface if you are located in, or a resident or citizen of, any jurisdiction where accessing the Interface or using crypto-asset services is prohibited, where you would be a restricted person, or any country or territory subject to comprehensive sanctions or embargo (including those administered by the U.S. Office of Foreign Assets Control), or if you are an individual or entity on any applicable sanctions list. You are responsible for ensuring that your access to and use of the Interface is lawful in your country and location, and you must stop using it if it is not.
4. How Roomzz works
So you understand what you are using, in plain terms:
- Guests. Anyone can walk into a club without a wallet and watch. A guest can read the chat, see the chart and trades on the wall, and see the hall, but cannot chat, order or take other actions.
- Sign-in. To walk in with a wallet you sign one message. It is a signature only: no transaction and no gas. It does not give any token approval and cannot move your funds. The signature starts a session tied to your wallet address.
- Clubs. A token club opens by itself when enough different wallets hold the token. An NFT club exists for a collection the Roomzz team has added. Each club has a limited number of places, and a wallet without a place can watch from a queue.
- The bar. Items are priced in US dollars and paid in ETH. Each order is split in the same transaction, and the split is shown in the club. The club admin sets how most of an order is divided between a burn part and a team wallet. Tips are paid to the bar staff or, for a DJ tip, mostly to the DJ. Each order opens in your wallet for you to confirm.
- Swap. In token clubs you can swap from your own wallet through a third-party aggregator. The swap box shows a fee of currently 0.5%, the price impact and the slippage before you send, and each step opens in your wallet for you to confirm. The aggregator and the pools it uses are not run by us.
- Chat and moderation. Chat is public to everyone in your hall. Club admins, mods and DJs can mute, kick or ban wallets of a lower rank, delete messages and control what plays on the wall. The Roomzz team can ban a wallet from every club.
These parameters are set by the smart contracts and by our service and may change. Nothing here is a promise about any particular token or collection.
5. Your responsibilities and acceptable use
You are solely responsible for everything you do through the Interface, including all content you supply (chat messages, links, names). You must have the right to use any content you post, and you must not use the Interface to:
- break any law or regulation, or facilitate anyone else doing so;
- infringe anyone's intellectual property, impersonate a person, project or brand, or publish someone's private information without permission;
- defraud, mislead or manipulate others, including market manipulation, deceptive promotion or spam;
- harass or threaten other people in a club;
- upload malware, attack or disrupt the Interface or the networks it uses, or scrape or reverse-engineer the Interface beyond what applicable law allows;
- offer or market a token as a security, investment contract, or a promise of gain.
Clubs exist for tokens and collections that users and projects create. We do not endorse, vet or take responsibility for any token, collection, club, club admin or content. A club existing says nothing about the value of a token or collection. If you believe a club contains content that infringes your rights or is unlawful, contact us (see Contact below).
6. Not financial advice; no guarantees
Roomzz is a social space, not financial advice. Nothing on the Interface is financial, investment, legal or tax advice, and nothing is an offer or solicitation to buy or sell any asset. Tokens and NFTs are experimental and may have no value; they are not shares, securities, deposits or regulated financial products. You may lose some or all of the value you put in. We do not guarantee any price, liquidity or trading volume, or that any club, token or the Interface will function without interruption.
7. Intellectual property
The Interface, including the Roomzz name and mark, its design, text and code (other than content you or other users supply and other than open-source or third-party components under their own licences), belongs to us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Interface for its intended purpose. You keep whatever rights you have in content you submit, and you grant us a non-exclusive, worldwide, royalty-free licence to host and display that content on the Interface so the service can function.
8. Third-party services
The Interface relies on and links to third parties we do not control, including Base, Robinhood Chain and their RPC endpoints, wallet providers, a swap aggregator, a price feed used to quote the bar in US dollars, and video and data sources shown on the wall. Your use of those services is governed by their own terms, and we are not responsible for them.
9. Disclaimers
The Interface is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Interface will be uninterrupted, secure, error-free, or free of harmful components, or that any information shown (including prices, charts, trades, balances or on-chain data) is accurate or current. You use the Interface at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, we and our contributors will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of income, assets, data or goodwill, arising out of or relating to your use of (or inability to use) the Interface, any smart contract, any token, any club, or any third-party service, whether based in contract, tort or otherwise, even if advised of the possibility. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless us and our contributors from any claim, loss or expense (including reasonable legal fees) arising out of your use of the Interface, any content you post, or your breach of these Terms or of any law or third-party right.
12. Changes
We may change the Interface, the parameters of our service, or these Terms at any time. When we change these Terms we will update the date above. Continuing to use the Interface after a change means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the applicable laws of the jurisdiction in which we operate, without regard to conflict-of-laws rules. To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or your use of the Interface will be resolved on an individual basis through binding arbitration rather than in court, and you and we each waive any right to participate in a class or representative action. Nothing in these Terms limits any rights you may have that cannot be waived under the law that applies to you, and we may specify a named governing law and venue in a future version of these Terms.
14. Contact
